By accessing or using the Salezii.com website or any of our services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions (“Terms”).

  1. Eligibility
  • Businesses using the Platform are solely responsible for ensuring that all information they submit or display, including but not limited to product or service descriptions, pricing, promotional offers, and related content, is complete, accurate, current, and compliant with all applicable laws and regulations.
  • com does not assume responsibility for verifying the accuracy or legality of such information and disclaims all liability arising from any false, misleading, or unlawful content provided by businesses.

 

  1. Marketplace Services

Salezii.com operates solely as an online marketplace platform that facilitates the connection and transaction process between independent third-party sellers (“Sellers”) and buyers (“Users” or “Buyers”). We provide the digital infrastructure that enables Sellers to list, promote, and offer their products or services to potential Buyers through the Platform.

Salezii.com does not manufacture, own, stock, or directly sell any of the products or services listed by Sellers on the Platform. As such, we do not assume any responsibility or liability for the transactions entered into between Sellers and Buyers, nor do we guarantee the existence, quality, condition, legality, safety, or delivery of any goods or services offered by Sellers.

Each Seller is solely and entirely responsible for:

  • The accuracy and completeness of their product or service listings;
  • The quality, safety, and legality of the products or services offered;
  • Compliance with all applicable laws and regulations related to the sale and delivery of their goods/services;
  • The fulfilment and timely delivery of orders to Buyers.

Salezii.com disclaims all warranties and liabilities related to the acts, omissions, or representations of any Seller. Buyers are encouraged to conduct their own due diligence before entering into any transaction through the Platform.

  1. Content & Listings

Sellers are solely responsible for the content they submit, post, or display on the Salezii.com Platform, including but not limited to product or service titles, descriptions, pricing, images, availability status, and other related listing information (“Listings”).

All Listings must meet the following requirements:

  • Accuracy: Sellers must provide truthful, clear, and complete information regarding the nature, price, condition, and availability of the products or services offered. Misleading or deceptive Listings are strictly prohibited.
  • Prohibited Items: The listing, promotion, or sale of illegal, counterfeit, stolen, infringing, hazardous, or otherwise prohibited goods or services is strictly forbidden. This includes, but is not limited to, items banned by applicable local, national, or international laws and Salezii.com’s internal policies.
  • Compliance: All Listings must comply with applicable consumer protection laws, e-commerce regulations, intellectual property rights, and safety standards relevant to the jurisdictions in which the Sellers operate or their Buyers reside.

Salezii.com reserves the right, at its sole discretion and without prior notice, to edit, remove, or suspend any Listing that:

  • Violates these Terms, our platform policies, or applicable laws;
  • Is inaccurate, misleading, or deceptive;
  • Contains prohibited or restricted items; or
  • Poses a risk to the safety, reputation, or operation of the Platform or its Users.

Repeated violations may result in account suspension or termination and may be reported to the appropriate legal authorities.

  1. Payments & Fees

At present, Salezii.com does not facilitate or process payments directly through the Platform. All transactions for products or services listed on the Platform are conducted independently between Buyers and Sellers.

In the event that Salezii.com integrates third-party payment gateway services in the future (such as Stripe, PayPal, or other authorized payment processors), all Users—including both Buyers and Sellers—agree to be bound by the terms, conditions, privacy policies, and operational rules of the applicable third-party payment providers.

Salezii.com shall not be held liable for any errors, delays, disputes, chargebacks, unauthorized transactions, or losses incurred through the use of such third-party services. Users are solely responsible for reviewing and complying with the terms of service of any payment gateway used in connection with their transactions.

If and when Salezii.com introduces platform service fees, commission charges, or transaction-related fees, Users will be notified in advance. Continued use of the Platform following such notice shall constitute acceptance of the applicable fees.

 

  1. User Responsibilities

Users of the Salezii.com Platform (“Users”) expressly agree to use the Platform in a lawful, ethical, and responsible manner. Users shall not engage in any conduct or activity that:

  • Constitutes fraud, deception, misrepresentation, or any other form of dishonest or unlawful behaviours;
  • Involves the transmission or distribution of unsolicited commercial communications, spam, junk mail, or any other form of unauthorized advertising;
  • Violates any applicable local, national, or international laws, regulations, or third-party rights;
  • Includes uploading, posting, or otherwise transmitting any harmful, malicious, or disruptive code such as viruses, malware, spyware, worms, Trojan horses, or other destructive programs;
  • Attempts to gain unauthorized access to, interfere with, disrupt, or damage the security, integrity, or functionality of the Platform, servers, networks, or connected systems.

Any violation of these obligations may result in immediate suspension or termination of the User’s access to the Platform, and may be reported to appropriate law enforcement or regulatory authorities for further action.

 

  1. Intellectual Property
  • All content, including but not limited to text, graphics, logos, images, audio clips, video clips, digital downloads, and other visual media created and displayed on this website/platform is the sole property of Salezii, and is protected by applicable copyright, trademark, and other intellectual property laws.
  • User may not reproduce, distribute, modify, display, perform, publish, license, create derivative works from, or sell any information, material, or media obtained from this site without the prior written consent of Salezii,. Unauthorized use of any materials contained on this site may violate copyright and trademark laws and could result in legal action.

 

  1. Limitation of Liability

Salezii.com operates solely as a neutral online platform facilitating connections and transactions between independent third-party buyers and sellers. As such, Salezii.com does not manufacture, store, sell, or control any of the products or services listed on the Platform and does not act as an agent for either party in any transaction.

To the maximum extent permitted by applicable law, Salezii.com shall not be held liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, losses, claims, or liabilities arising out of or related to:

  • Transactions, communications, or disputes between buyers and sellers;
  • The quality, legality, accuracy, or safety of any products or services offered by sellers;
  • Any fraud, misrepresentation, breach of contract, or failure to perform by either party;
  • Any loss of data, revenue, profits, goodwill, or business opportunities resulting from the use of or inability to use the Platform.

Users and sellers acknowledge and agree that they are solely responsible for conducting appropriate due diligence and verification before entering into any transaction through the Platform. Salezii.com expressly disclaims any and all warranties, whether express or implied, regarding user interactions and third-party conduct.

 

  1. Indemnity

Uses agree to indemnify, defend, and hold harmless Salezii.com, its affiliates, directors, officers, employees, agents, licensors, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

  • Your access to or use of the Platform in a manner that violates these Terms or any applicable laws or regulations;
  • Any content, data, or materials submitted, posted, or transmitted by you through the Platform;
  • Your misuse, unauthorized use, or abuse of any features, services, or tools made available by Salezii.com;
  • Your violation of the rights of any third party, including intellectual property rights, privacy rights, or contractual obligations.

This obligation to indemnify shall survive the termination or suspension of your use of the Platform and shall remain in effect to the fullest extent permitted by law.

 

  1. Termination

Salezii.com reserves the right, at its sole discretion, to suspend, restrict, or permanently terminate any User or Seller account, without prior notice, if it determines that the account:

  • Has violated these Terms and Conditions or any other applicable policies or guidelines issued by Salezii.com;
  • Has engaged in conduct that is unlawful, fraudulent, abusive, or harmful to other Users, Sellers, or the integrity of the Platform;
  • Poses a risk to the security, performance, or reputation of the Platform; or
  • Is subject to legal or regulatory action requiring such termination.

Termination may include the immediate removal of access to the account, deletion of any associated content or listings, and the prohibition of further use of the Platform.

 

  1. Governing Law & Jurisdiction

These Terms and any disputes or claims arising out of or in connection with the use of the Salezii.com Platform shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles.

In the event of any dispute, controversy, or claim between you and Salezii.com arising out of or relating to these Terms, including the breach, termination, enforcement, interpretation, or validity thereof (“Dispute”), the parties agree to attempt to resolve the matter amicably through good-faith negotiations.

If the parties are unable to resolve the Dispute within 30 (thirty) days from the date it arises, the Dispute shall be finally resolved through binding arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.

  • The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties.
  • The seat and venue of arbitration shall be Pune, Maharashtra, India.
  • The decision of the arbitrator shall be final and binding on both parties.
  • If, for any reason, arbitration is not possible, is found to be invalid, or fails to result in a binding resolution, the courts located in Pune City, Maharashtra, India, shall have exclusive jurisdiction over the Dispute. Each party irrevocably submits to the jurisdiction of such courts for this purpose.
